Job Overview

We are seeking a qualified Company Secretary to lead and manage corporate governance, compliance, and entity structuring across our family office and venture initiatives. You will be responsible for maintaining statutory and regulatory adherence across multiple group entities including private companies, LLPs, SPVs, and trusts.

Key Responsibilities:

 

  1. Corporate Governance & Secretarial Compliance
    • Manage statutory compliance under the Companies Act, FEMA and other Corporate Laws
    • Maintain statutory registers and filings (ROC, MCA, RBI) for all group entities
  2. Entity Structuring & Documentation
    • Support setup and maintenance of SPVs, holding companies, LLPs, and trusts
    • Draft shareholder resolutions, shareholding agreements, MOUs, and compliance notes
    • Coordinate with CAs and legal advisors for tax-efficient and regulation-compliant structures
  3. Regulatory Filings & Approvals
    • Ensure timely filing of forms and returns with MCA, RBI, SEBI (where applicable)
    • Manage FEMA filings for cross-border investments and remittances
    • Assist with approvals for changes in shareholding, directorship, or registered offices
  4. Stakeholder Coordination
    • Liaise with external legal counsel, auditors, consultants, and government departments
    • Engage with family principals, investment managers, and advisors for structuring and governance matters
    • Support internal teams on compliance documentation, corporate actions, and investor communications
  5. Governance for Family Office & Trust Structures
    • Support trustees and protectors in legal and compliance documentation
    • Maintain documentation for family constitutions, trust resolutions, and succession charters
    • Ensure transparency and governance in line with family office protocols

Qualifications:

  • 3–5 years of post-qualification experience in secretarial and corporate compliance
  • Experience with VC firms, family offices, or boutique law/tax firms
  • Exposure to FEMA, FDI regulations, private trust laws, and corporate structuring is highly desirable.

 

Location: Connaught Place, Delhi

Commitment: Full-time

Work Days & Time: Monday to Friday, 9:30 AM – 6:00 PM
